4. Payments, Fees & Refunds

• Payment for Services is as set out in your proposal or service agreement.
• Fees may be one-time (“Build Fee”) and/or recurring (monthly retainer).
• Unless otherwise stated, you agree to pay all fees by the agreed due dates and to Whichever payment method we accept.
• All fees are non-refundable, except as expressly stated in the service agreement or required by law.
• We reserve the right to change our fees at any time; continued use of Services after a fee change constitutes acceptance of the new fee.

5. Intellectual Property

• All content on the Site (text, graphics, logos, images, designs, software) is our property or licensed to us and is protected by applicable intellectual property laws.
• Unless otherwise agreed in writing, we grant you a limited, non-exclusive, non-transferable license to use the deliverables of the Services for your own internal business purposes only.
• You may not reproduce, distribute, modify, create derivative works, publicly display or otherwise exploit any portions of the Site or Services except as expressly permitted.

6. Deliverables & Client Responsibilities

• We will provide deliverables as described in your agreement or scope of work.
• You agree to cooperate reasonably, provide required information and access to systems in a timely manner. Delays in your response may delay our delivery and may incur additional fees.
• We do not guarantee specific performance results unless expressly stated in writing.

7. Warranties & Disclaimers

• The Site and Services are provided “as is” and “as available”, without warranty of any kind, whether express or implied.
• We expressly disclaim all warranties, including warranties of merchantability, fitness for a particular purpose, accuracy, availability, completeness and non-infringement.
• We do not guarantee uninterrupted, error-free or secure operation of the Site or Services.

8. Limitation of Liability

To the maximum extent permitted by law, neither we nor our directors, officers, employees or agents will be liable for:

• any direct, indirect, incidental, consequential, special or punitive damages;

  Our total cumulative liability for any claim arising out of or related to these Terms or the Services will not exceed the amount you paid us in the 12 months preceding the event giving rise to the claim.

These Terms and any dispute arising out of or in connection with them will be governed by the laws of the State of Florida, United States, without regard to conflict of law provisions. You agree to submit to the exclusive jurisdiction of the courts of Clearwater, Florida (or another venue if we choose).
